Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, software, applications, AI assistants, text messaging features, voice features, hardware, kiosks, displays, APIs, and related products and services made available by Stella Bots (“Stella Bots,” “we,” “us,” or “our”) (collectively, the “Services”).

By accessing or using the Services, placing an order, submitting information through our website, interacting with Stella Bots by phone or text, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You may use the Services only if you are able to form a binding contract under applicable law and your use of the Services does not violate any applicable law, regulation, carrier requirement, or third-party platform rule.

If you use the Services on behalf of a business or other entity, you represent and warrant that you are authorized to bind that entity to these Terms.

2. Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference and available at:

3. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on our website and will become effective when posted unless a later date is stated. Your continued use of the Services after updated Terms are posted constitutes your acceptance of the updated Terms.

4. Description of Services

Stella Bots provides AI-powered software and related tools for use in physical businesses and other settings, including customer-facing assistants, informational and conversational tools, messaging features, voice features, business automation features, and related hardware or managed-device offerings.

Some Services are intended for businesses, and some features may be experienced by members of the public interacting with a business that uses Stella Bots. Certain Services may also be subject to additional commercial terms, order forms, checkout terms, subscription terms, or product-specific policies presented at the time of purchase or use.

5. Third-Party Businesses and Interactions

Stella Bots may be used by independent businesses, merchants, service providers, and other third parties. If you interact with Stella through a third-party business, that business may separately control the products, services, offers, information, scheduling, pricing, availability, and customer experience it provides.

Stella Bots is not responsible for the acts, omissions, products, services, policies, or representations of third-party businesses that use Stella Bots, except to the extent required by law.

6. Acceptable Use

You agree not to, and not to permit any third party to:

  • use the Services for any unlawful, harmful, fraudulent, deceptive, abusive, harassing, or misleading purpose;
  • violate any law, regulation, carrier rule, or third-party platform requirement;
  • upload, transmit, or provide content that infringes intellectual property, privacy, publicity, or other rights;
  • interfere with, disrupt, damage, disable, or impair the Services or related infrastructure;
  • attempt to gain unauthorized access to any account, system, or network;
  • reverse engineer, decompile, disassemble, or attempt to derive source code, models, prompts, workflows, or underlying components of the Services except to the limited extent prohibited by applicable law;
  • use the Services to build a competing product or service;
  • use automated means to scrape, harvest, or collect information from the Services except as expressly permitted by Stella Bots.

We may suspend, restrict, or terminate access to the Services if we believe a violation of these Terms or applicable requirements has occurred.

7. AI and Informational Outputs

The Services may generate automated, AI-assisted, or algorithmic outputs, responses, recommendations, summaries, or communications. These outputs may be incomplete, inaccurate, or inappropriate in some circumstances and should be independently evaluated where appropriate.

Stella Bots does not guarantee that any output, response, suggestion, or communication generated by the Services is accurate, complete, reliable, or suitable for any particular purpose.

8. Accounts

Some Services require an account. If you create or use an account, you agree to provide accurate and complete information and to keep it current. You are responsible for maintaining the confidentiality of account credentials and for all activities that occur under your account.

You must promptly notify us at support@stellabots.com if you believe your account has been accessed or used without authorization.

9. Orders, Subscriptions, Billing, and Payments

If you purchase or subscribe to any Service, you agree to pay all applicable fees, taxes, shipping charges, usage-based charges, replacement charges, and other amounts disclosed at the time of purchase or in any applicable order flow or commercial agreement.

If a Service is offered on a recurring subscription basis, your subscription will continue until canceled in accordance with the applicable cancellation terms presented at checkout, in your account, or in another applicable agreement.

You authorize Stella Bots and its payment processors to charge your payment method for all amounts due.

Except as required by law or expressly stated in a separate written policy, payments are non-refundable.

10. Hardware Terms

If Stella Bots provides hardware, managed tablets, kiosks, displays, accessories, mounts, or other physical equipment (“Hardware”), the following apply unless separate written terms say otherwise:

  • Hardware may be sold, leased, loaned, or otherwise provided under the specific terms presented at the time of order.
  • If Hardware is leased or loaned, title remains with Stella Bots unless expressly stated otherwise.
  • You will use Hardware only as intended and in compliance with applicable instructions and law.
  • You will not reverse engineer, modify, relocate, resell, transfer, or misuse Hardware in violation of applicable terms.
  • You are responsible for loss, theft, misuse, and damage beyond ordinary wear and tear, except to the extent caused by Stella Bots’ gross negligence or willful misconduct.
  • If Hardware must be returned, you agree to return it promptly in accordance with Stella Bots’ instructions.
11. Stella Bots Customer Messaging Program (SMS/MMS Terms)

This Section 11 applies to end users who opt in to receive SMS or MMS messages from Stella through a business that uses Stella Bots, and to other individuals who directly engage by text with a Stella-enabled number.

11.1 Program Name

The name of this messaging program is Stella Bots Customer Messaging Program.

11.2 Program Description

The Stella Bots Customer Messaging Program sends conversational and informational text messages to end users who request or agree to receive them during an interaction with Stella or a business using Stella. These messages may include requested booking links, requested information, follow-up details, confirmations, customer-service information, scheduling information, and other transaction-related or support-related information.

11.3 Consent to Receive Messages

End users consent to receive text messages through one of the following methods:

  1. During a phone call, the caller requests information via text or verbally agrees when the AI assistant offers to send a text, such as: “I can text you the booking link — would you like that?”
  2. The end user texts the business phone number directly, initiating a conversation.
  3. During a phone call, the caller provides their phone number and consents to receive a follow-up text after the call.

Messages are sent only after the end user provides consent through one of these methods.

11.4 Message Frequency

Message frequency varies. Messages are generally sent only in connection with a specific customer interaction, request, conversation, support matter, scheduling matter, or other business-related communication.

11.5 Message and Data Rates

Message and data rates may apply according to your mobile carrier plan.

11.6 Opt-Out

You may opt out at any time by replying STOP to any message. After we receive your opt-out request, you may receive one final confirmation message confirming that you have been unsubscribed. After that, no further text messages will be sent unless you re-initiate contact or provide new consent.

11.8 Carrier Disclaimer

Carriers are not liable for delayed or undelivered messages.

11.9 Availability

Messaging services may not be available on all carriers, devices, or in all areas at all times. Delivery is subject to effective transmission by your carrier and other service providers.

11.10 Mobile Information and Consent Data

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Information sharing to subcontractors in support services, such as customer service, is permitted. Text messaging originator opt-in data and consent will not be shared with any third parties except as necessary to provide messaging services or as required by law.

12. Voice Communications

If you interact with Stella Bots by phone, that interaction may involve an AI assistant, automated system, recording, transcription, or related communications technology. By continuing the interaction where permitted by law, you consent to the handling of the communication as described in the Privacy Policy and any disclosures provided during the call.

You are responsible for ensuring that your use of any phone, messaging, or communications feature is lawful.

13. Intellectual Property

The Services, including all software, code, interfaces, designs, text, images, audio, video, branding, models, prompts, workflows, documentation, and related technology, are owned by Stella Bots or its licensors and are protected by intellectual property and other laws.

Subject to these Terms, Stella Bots grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services solely as permitted by these Terms.

Except for the limited rights expressly granted, no rights are granted to you by implication, estoppel, or otherwise.

14. Your Content and Inputs

If you provide content, materials, FAQs, scripts, promotions, business information, contact information, data, or other inputs to the Services, you represent and warrant that you have all rights necessary to provide that content and permit its use in connection with the Services.

You retain ownership of your content, but you grant Stella Bots a non-exclusive, worldwide, royalty-free license to host, use, reproduce, modify, transmit, display, and process it as necessary to operate, improve, support, and provide the Services.

15. Feedback

If you provide suggestions, ideas, recommendations, or feedback regarding the Services, Stella Bots may use them without restriction or obligation to you, and you hereby grant Stella Bots a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable right to use and exploit that feedback for any lawful purpose.

16. Third-Party Services

The Services may interoperate with third-party platforms, carriers, telecom providers, browsers, mobile operating systems, payment processors, hardware vendors, cloud providers, or other third-party services. Stella Bots is not responsible for third-party services and does not guarantee their performance, availability, security, legality, or compatibility.

17. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

STELLA BOTS DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, STELLA BOTS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, TIMELY, OR ACCURATE, OR THAT ANY MESSAGE, CALL, OUTPUT, NOTIFICATION, RESPONSE, SALE, LEAD, APPOINTMENT, OR OTHER RESULT WILL BE DELIVERED, RECEIVED, ACHIEVED, OR ERROR-FREE.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STELLA BOTS AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF STELLA BOTS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO STELLA BOTS FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

19. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Stella Bots and its affiliates, licensors, service providers, contractors, officers, directors, employees, and agents from and against any claims, actions, liabilities, damages, judgments, losses, fines, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • your use of the Services;
  • your violation of these Terms;
  • your content, inputs, or communications;
  • your violation of applicable law, carrier rules, platform rules, or third-party rights.
20. Suspension and Termination

Stella Bots may suspend, restrict, or terminate your access to the Services at any time, with or without notice, if:

  • you violate these Terms;
  • your use creates legal, regulatory, carrier, abuse, security, operational, or reputational risk;
  • payment is overdue;
  • a third-party provider or carrier requires suspension; or
  • Stella Bots discontinues the relevant Service.

You may stop using the Services at any time. Sections of these Terms that by their nature should survive termination will survive, including sections relating to intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, messaging compliance, and miscellaneous provisions.

21. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles.

Except where prohibited by applicable law, any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you and Stella Bots consent to the personal jurisdiction of those courts.

Nothing in these Terms prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction.

22. Miscellaneous

These Terms constitute the entire agreement between you and Stella Bots regarding the Services, except for any separate written agreement, order form, or product-specific terms that expressly apply.

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.

Stella Bots’ failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.

You may not assign or transfer these Terms without Stella Bots’ prior written consent. Stella Bots may assign these Terms without restriction in connection with a merger, acquisition, corporate reorganization, sale of assets, financing transaction, or by operation of law.

These Terms may be presented in electronic form, and electronic acceptance will be deemed equivalent to an original written signature.
